The provisions of paragraph 1 of this MOU are expressions of intention and intended only to outline the basic concepts around which Definitive Agreements may be structured, and no party is under any obligation to: ·        Negotiate or enter into binding and enforceable Definitive Agreements with any of the other parties to this MOU; ·        To exert any effort with respect to any discussions or negotiations undertaken by the parties with respect to a binding and enforceable Definitive Agreements; or ·        To continue any such discussions or negotiations undertaken by the parties.
